Rather he will be there to assess whether the contract as signed is enforceable.

 

 

Right. But I expect that misleading a purchaser about what they're buying (i.e. how many "real" users you have) would invalidate a contract. At which point the parties are free to negotiate a new contract, at a lower price.

Really? That outcome was a foregone conclusion - Microsoft proved it years ago. Just why Zuckerberg thought Meta would achieve any different outcome than Microsoft is a mystery.

He has to prove that both a) they deliberately misled him; and that b) had he known the truth it would have materially affected whether he would have proceeded with the contract.

 

This would be hard to argue given that he claimed he was buying twitter because it was full of bots (and he wanted to get rid of them) and because he claimed their real user count was misleading and threw around figures like 90% bots long before he suddenly decided that was a problem. I think your expectation is off the mark.

Musk didn't do due diligance.

As anyone who has purchased a house with an unconditional agreement knows, buyer's remorse is expensive.

Complaining that "I didn't know the house is in a flood area" won't garner any sympathy from the judge.

Even less if you before you signed the contract you tweated the owner "Wow there looks like there's been a lot of flood damage. Good thing I can fix it."

Twitter’s (TWTR) ex-security chief has filed a whistleblower complaint with claims that, if proven true, could make it easier for Elon Musk to walk away from his $44 billion deal to buy the social media company.

Peiter “Mudge” Zatko, a widely respected hacker who was fired in January, sent a 200-page complaint to federal officials accusing Twitter’s top executives of violating laws and regulations by covering up lax security, and eschewing resources to fully understand its prevalence of fake accounts.

The issue of fake accounts plays a central role in the legal battle between Musk and Twitter, which is suing him in an attempt to force him to go through with the deal.

The whistleblower claims regarding fake accounts present a considerable tide change in the lawsuit, set for trial in Delaware Chancery Court beginning Oct. 17.

Prior to the claims, some legal experts had predicted that the seller-friendly merger agreement would tip the case in Twitter’s favor, with Delaware's Chancellor ordering Musk to go through with the deal.

As a rule, all that people tried to sell me as "highly dynamic" in my professional life was nothing but nimble ruthlessness towards those who really thought twice about a matter. These guys were predominantly overpaid flash in the pan of alleged think tanks, who always ran away when it came to realisation and perseverance. What was announced and established in a dazzling and glittering way was then later secretly and quietly disposed of again.

 

However, I had also always wondered which majesties had brought them into our company in the first place?





     

  • Qui nihil scit, omnia credere debet.
  • Firewalls do NOT stop dragons.
  • In effect we have everything to hide from someone, and no idea who someone is.

There's something cathartic about seeing an Elon Musk tweet responded to with "F-word off is my very diplomatic reply to you" (of course, not censored) from an Ambassador, and just "No." from a sovereign nation's parliament.

I can't comprehend how Musk thought it would be a good idea to post today's tweets.

His involvement with sending star link gear was positive for both him and SpaceX.

 

But today's stuff flips that on its head.

While Ukraine uncovers torture chambers in its advance.
Musk...

 

By all accounts US Government paid top dollar for the Starlink terminals.
They were old model being replaced due to a number of reliability issues ?
A warehouse of product that may have ended up at the dump ?

 

The marketing value of this for starlink global awareness was not small.

 

He wants something ? 

 

Starlink economic model may have some issues.
He needs to get new larger satellites up to stop erosion of speeds and service. 
Launch platform for those is Starship thats not progressing as fast as he needs as well.
Government subsidies for rural services may have more terrestrial competition eating away at it.

 

Maybe German Tesla factory needs low cost energy to melt aluminum for the Gigapress etc too.

 

Or its just he's spending more time under the influence, corroding the world's best brain.
