and my brother wants to buy the game of me (no way he's get nothing for free :) ) I'm finished with the game and have no need for it any more. 

How does one unregister the key that I have used or does he have to buy a new one?

No I don't think there is a way because it works like a licence key.

Yeah, these new DRMs will cause you a lot of grief when trying to resell. Most new games can't be resold. You could contact (ubisoft?) and ask them to deregister your key, but they would much prefer your that your brother buys another game. I don't buy ubisoft games purely because of their DRM. HAWX 2 was a disaster with that. You have to be connected to the internet all of the time. Hopefully it is better with Farcry 3.

How will this work with video stores renting games???

Video stores don't rent PC games so there is no trouble there. With some xbox and PS3 games there is extra free DLC and such and the stores just scratch out the serial number. Not really sure how they work it.

the ubisoft client has an offline mode which is helpful cause the game could never contact the server during a load and it always bombed out. put it in offline mode and bingo it started working.

I like the good old days where you didn't have to be online to play. I understand why but that doesn't make it any less dumb

The sad thing is the people who have pirated it will have a better gaming experience than those who purchased it. That's a bit backwards...
